The main difference for M$ is that they charge extra for pro boxes and makes sure that the home editions doesn't work in network domains. But another (potentially important) difference is the ability to run XP applications in XP mode. And Pro allows backup to file servers.

Ultimate adds support for multi-display remote desktop, multimedia over remote desktop, additional encryption options, ...
